Terms of Service

Effective date: February 14, 2026

These Terms of Service ("Terms") govern your use of the Jewelry Studio Manager application and related services (the "Service") provided by Moores Jewellers ("we," "us," or "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or installing our application from the Shopify App Store, you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to agree to these Terms
  • If acting on behalf of a business, you have the authority to bind that business to these Terms
  • You have read and understand our Privacy Policy

2. Description of Service

Jewelry Studio Manager is a customer relationship management (CRM) application designed for jewelry designers and studios. The Service provides tools for:

  • Managing client information and preferences
  • Tracking jewelry commissions through design and production workflows
  • Scheduling and managing consultations
  • Syncing data with your Shopify store
  • Providing a client-facing portal for commission visibility
  • Business analytics and reporting

We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

3.1 Account Creation

To use the Service, you must install the app through the Shopify App Store and authorize the required permissions. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

3.2 Account Security

You must use a strong, unique password for your account. We recommend enabling all available security features. We are not liable for losses arising from unauthorized access to your account due to your failure to maintain account security.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered through subscription plans billed monthly through Shopify's billing system. Current plans and pricing are displayed on our website and within the Shopify App Store listing. We reserve the right to modify pricing with at least 30 days' notice.

4.2 Free Trial

New users receive a 14-day free trial. During the trial, you have access to the features of your selected plan. No charges are incurred during the trial period. If you do not cancel before the trial ends, your subscription will begin automatically and you will be billed through Shopify.

4.3 Billing

All billing is handled through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method on file. Subscription charges are billed monthly in advance. You can view your billing history in your Shopify admin.

4.4 Refunds

Subscription fees are generally non-refundable. However, if you experience a service issue, please contact us and we will review your case on an individual basis.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the Service or its underlying infrastructure
  • Upload malicious code, viruses, or harmful content
  • Use the Service to send spam, unsolicited communications, or bulk messages
  • Scrape, mine, or extract data from the Service using automated means
  • Resell, sublicense, or redistribute the Service without written authorization
  • Store or transmit any content that infringes on intellectual property rights of others
  • Impersonate any person or entity, or misrepresent your affiliation

6. Data Ownership

6.1 Your Data

You retain full ownership of all data you input into the Service ("Your Data"), including client information, commission details, project files, and business records. We do not claim ownership of Your Data.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.

6.3 Data Export

You may export Your Data at any time during your active subscription. We provide data export functionality within the Service. Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

6.4 Aggregated Data

We may use anonymized, aggregated data derived from usage of the Service for analytics, benchmarking, and product improvement purposes. This data cannot be used to identify you or your clients.

7. Intellectual Property

The Service, including its original content, features, functionality, design, code, and documentation, is owned by Moores Jewellers and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

8. Third-Party Integrations

8.1 Shopify

The Service integrates with Shopify and is subject to Shopify's App Store Terms of Service. Your use of Shopify is governed by Shopify's own terms and policies.

8.2 Responsibility

We are not responsible for the availability, accuracy, or functionality of third-party services. If a third-party integration becomes unavailable, we will make reasonable efforts to find alternatives but cannot guarantee uninterrupted access.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or updates
  • Factors outside our control (e.g., internet outages, third-party service disruptions)

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • In no event shall our total liability exceed the amount you paid for the Service in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities

11. Indemnification

You agree to indemnify and hold harmless Moores Jewellers, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you upload or transmit through the Service

12. Termination

12.1 By You

You may cancel your subscription at any time through the Shopify App Store or by uninstalling the app. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until your subscription expires.

12.2 By Us

We may suspend or terminate your access to the Service immediately if:

  • You violate these Terms
  • Your payment fails and is not resolved within 7 days
  • Your use of the Service poses a security risk
  • Required by law or regulation

We will provide notice of termination when feasible. Upon termination, you will have 30 days to export Your Data.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately (subject to the 30-day data export window). Sections 6 (Data Ownership), 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of England and Wales.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control.
